Business Consulting Terms of Service

By engaging TGNathan ("Consultant") to provide business consulting services, the client ("Client" or "You") agrees to the following terms and conditions.
1. Services Provided
Consultant agrees to provide business consulting services as described in the accompanying proposal, statement of work, or service package (the "Services"). Any changes to the scope of services must be agreed upon in writing by both parties.
2. Fees and Payment
Fees: Client agrees to pay the fees outlined in the proposal/invoice.
Payment Schedule: Invoices are payable [e.g., net 15 days] from the date of invoice.
Late Payments: Late payments may accrue interest at a rate of [e.g., 1.5%] per month.
Expenses: Client will reimburse Consultant for pre-approved, out-of-pocket expenses incurred during the project.
3. Client Responsibilities
Client agrees to provide timely access to necessary data, personnel, and decision-makers. The success of the consulting services depends on the accuracy of information provided by the Client.
4. Intellectual Property
Pre-existing IP: Each party retains ownership of their respective pre-existing intellectual property.
Deliverables: Upon full payment, the Client owns the final deliverables produced by the Consultant specifically for the Client. However, Consultant retains ownership of any methodologies, templates, or tools used to create the deliverables.
5. Confidentiality
Both parties agree to hold confidential information received from the other party in strict confidence and not to disclose it to third parties, except as required for the performance of the services or by law.
6. Limitation of Liability
No Guarantees: While the Consultant aims to provide high-quality advice, the Consultant does not guarantee specific business results, profits, or outcomes.
Liability Cap: To the maximum extent permitted by law, the Consultant’s total liability for any claims arising out of this agreement shall not exceed the total amount of fees paid by the Client to the Consultant in the [e.g., 3 months] preceding the claim.
7. Termination
Either party may terminate the agreement with [e.g., 14 or 30] days' written notice.
If terminated, Client agrees to pay for all services rendered and expenses incurred up to the date of termination.
8. Independent Contractor Status
The Consultant is an independent contractor, not an employee of the Client. The Consultant is responsible for their own taxes and insurance.
9. Governing Law
These terms shall be governed by the laws of India. Any disputes shall be resolved in the courts of Kerala, India.
10. Entire Agreement
These Terms of Service, along with any attached proposals, constitute the entire agreement between the parties.
